Membership Terms & Conditions

1. Definitions

In these terms: "We", "us", "our" means XX Horizons Ltd, trading as XX Invest (company number 16937500). "Member" means an individual who has been accepted into Membership. "Membership" means your subscription to the XX Invest member platform. "Member Content" means information about founders and deals shared in the Membership. "Self-Certification" means your declaration that you meet the criteria to be a high net worth individual or self-certified sophisticated investor under the FPO 2005.

2. Who can become a Member

2.1 Membership is open to individuals aged 18 or over who are resident in the United Kingdom.

2.2 To access investment-related content, you must complete Self-Certification confirming that you are either a High Net Worth Individual (annual income of at least £100,000 or net assets of at least £250,000, excluding your primary residence and certain pension/insurance assets) or a Self-Certified Sophisticated Investor (meeting at least one of the FPO criteria — for example, a member of a network or syndicate of business angels, or someone who has made more than one investment in an unlisted company in the preceding two years).

2.3 By completing Self-Certification, you confirm that the declaration is true and accurate. If your circumstances change such that you no longer meet the criteria, you must notify us immediately.

2.4 We reserve the right to decline any application at our discretion, without giving reasons.

3. The application process

3.1 To apply for Membership you must complete our online sign-up form, including Self-Certification, and pay the applicable Membership fee.

3.2 A binding contract between us is formed when we accept your application and confirm your Membership by email.

3.3 You must ensure that all information you provide is accurate and up to date.

4. Membership plans and fees

4.1 We offer monthly and annual Membership plans. Current fees are displayed on the pricing page at the time of sign-up. Fees are in pounds sterling and include VAT where applicable.

4.2 We may change our fees by giving you at least 30 days' notice before the change takes effect at your next renewal. If you do not wish to pay the new fee, you may cancel before renewal under clause 6.

5. Billing and renewal

5.1 Membership is a 12-month contract. You can pay for it in one annual payment in advance, or in 12 monthly payments. Payment is processed by Stripe.

5.2 Your Membership renews automatically for a further 12 months at the end of each 12-month term, unless you cancel under clause 6. We will email you at least 45 days before your renewal date, so you have time to give notice.

5.3 If a payment fails, we will notify you and may suspend access to your account until payment is made. Persistent payment failures may result in termination of your Membership.

6. Cancellation

6.1 You can cancel your Membership by emailing us at hello@xxinvest.co.uk. To stop it renewing, we need your notice at least 30 days before your renewal date. If you give less than 30 days' notice, your Membership will renew for one further 12-month term, and you can cancel it in the same way before the following renewal..

6.2 Cancellation takes effect at the end of your current 12-month term. You keep access to Member benefits until then and, if you pay monthly, your monthly payments continue until the end of that term.

6.3 We do not refund any part of a 12-month term, except during the cooling-off period (clause 7) or where required by law.

7. Cooling-off period

7.1 If you are a consumer, you have a statutory right to cancel this contract within 14 days of joining without giving a reason (the "cooling-off period").

7.2 To exercise your right to cancel, email us at hello@xxinvest.co.uk within 14 days of joining with a clear statement that you wish to cancel. We will then provide you with a full refund.

8. What Membership includes

8.1 Membership gives you access to the XX Invest member platform, which may include: investment opportunities and their briefs, founder story sessions, founder updates, the XX Invest Guide and resources library, and members' events.

8.2 Access to specific features may depend on your investor category or plan. We may add, modify or withdraw features at any time, and will not be liable if a feature is unavailable or changed.

8.3 We aim for the platform to be available 24/7 but do not guarantee uninterrupted access. Planned maintenance and outages will be communicated where possible.

9. Restricted content

9.1 Certain content on the platform relates to investment opportunities and is restricted to Members who have completed Self-Certification. You must not share or distribute this content to anyone who has not completed Self-Certification.

9.2 Member Content is provided for information only. It does not constitute a financial promotion, investment advice, or an offer to buy or sell any security or investment.

10. No financial advice

XX Invest does not provide regulated financial advice, investment management or brokerage services. Nothing in your Membership or on the platform constitutes a personal recommendation to invest. Any investment decision you make is solely your own responsibility.

11. Events

11.1 We may offer events (in-person and virtual) as part of your Membership. Specific events may be subject to separate booking terms and any applicable entry requirements.

11.2 If you are unable to attend a ticketed event, cancellation and refund terms will be stated at the time of booking.

11.3 We may photograph or record events for promotional purposes. By attending, you consent to appearing in photographs or recordings used in our marketing, unless you notify us to the contrary before the event.

12. Your conduct

As a Member you agree to:

• treat other Members, founders and XX Invest staff with respect;
• not post, share or transmit material that is unlawful, defamatory, offensive, discriminatory or harassing;
• not use the platform for unsolicited marketing or solicitation;
• not misrepresent your identity, credentials or investment experience;
• not attempt to circumvent any access controls or security measures;
• comply with all applicable laws, including financial services and securities laws.

13. Confidentiality

13.1 Some Member Content — including information shared by founders about their businesses, financials, and strategies — is confidential. You agree to keep such information confidential and not to disclose it to any third party without the relevant founder's consent.

13.2 You may use confidential information only for the purpose for which it was shared — to evaluate a potential investment — and not for any other commercial purpose.

13.3 This obligation of confidentiality does not apply to information that is or becomes publicly known other than through your breach, or that you were lawfully entitled to before it was shared with you.

14. Intellectual property

14.1 All intellectual property in the platform, its content, software, name and branding belongs to us or our licensors. Your Membership does not give you any ownership of or licence to our intellectual property beyond what is needed to use the platform as a Member.

14.2 You may not copy, reproduce, redistribute or use any content from the platform for commercial purposes without our prior written consent.

15. Our liability

15.1 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be limited by law.

15.2 We are not liable for any investment losses, loss of profit, loss of opportunity, or any indirect or consequential loss arising from your use of the platform or any investment decision you make.

15.3 Where we are liable for direct loss, our total liability in any 12-month period is limited to the total fees you paid during that period.

15.4 We are not responsible for the accuracy of information provided by founders or third parties on the platform.

16. Suspension and termination

16.1 We may suspend or terminate your Membership immediately if you breach these terms (including any breach of clause 12 or 13), if you provide false information in your application or Self-Certification, or if we are required to do so by law.

16.2 We may also terminate your Membership on 30 days' notice for any reason, in which case we will refund any fees paid for the unused portion of your current billing period.

16.3 On termination, your access to the platform will cease and you must destroy any confidential information you hold.

17. Changes to these terms

17.1 We may update these terms from time to time. We will give you at least 30 days' notice of material changes by email.

17.2 If you do not accept the updated terms, you may cancel before they take effect. Continuing to use your Membership after the effective date constitutes acceptance.

18. General

18.1 These terms, together with the Website Terms of Use and Privacy Policy, constitute the entire agreement between us regarding your Membership.

18.2 If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.

18.3 A failure by us to exercise any right under these terms does not constitute a waiver of that right.

18.4 You may not transfer your Membership to another person. We may transfer our rights and obligations under these terms to a successor or acquirer of all or part of our business.

19. Governing law

These terms are governed by the law of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that you may bring proceedings in your home nation if you live in Scotland or Northern Ireland.
